Coverage on (CNI) (CSX) (CVU) (FDX) (GNC) Initiated

Coverage on shares Canadian National Railway (NYSE: CNI), CSX Corp. (NYSE: CSX), CPI Aerostructures, Inc. (NYSE: CVU), FedEx (NYSE: FDX) and GNC Corp. (NYSE: GNC) was initiated by analysts.

Dividends from (CPY) (BID) (BRCM) (ECL) (EMN) Declared

CPI Corp. (NYSE:CPY), Sotheby's (NYSE:BID), Broadcom Corporation (NASDAQ:BRCM), Ecolab Inc. (NYSE:ECL) and Eastman Chemical (NYSE:EMN) declare dividends.

The Board of Directors of CPI Corp. (CPY) declared a quarterly common stock dividend of $0.25 a share payable 6/1/11 to shareholders of record at the close of business on 5/18/11.

The Board of Directors of Sotheby's (BID) declared a cash dividend of $0.05 a share on the company's common stock payable on 6/15/11, to Stockholders of record on 6/1/11.

The Board of Directors of Broadcom Corporation (BRCM) declared a regular cash dividend of $0.09 a common share. The dividend will be payable on 6/6/11 to common stockholders of record at the close of business on 5/20/11.

The Board of Directors of Ecolab Inc. (ECL) declared a regular cash dividend of $0.175 per common share. The dividend will be payable on 7/15/11 to common stockholders of record at the close of business on 6/21/11.

The Board of Directors of Eastman Chemical (EMN) declared a regular cash dividend of $0.47 per common share. The dividend will be payable on 7/1/11 to common stockholders of record at the close of business on 6/15/11.

CPI International (Nasdaq:CPII) Acquired by Veritas Capital

CPI International (Nasdaq:CPII) has been acquired by Veritas Capital for close to $525 million, subject to customary regulatory and shareholder approval.

On the shareholder side, it already looks like there will be no problem, as CPI shareholders holding 49 percent of stock have already signaled they support the deal.

Commenting on the deal, Canaccord said, "CPI has inked a deal with private-equity firm Veritas Capital to be acquired for about $525 million. The California-based provider of microwave, radio frequency and power and control solutions said the offer amounted to $19.50 a share, a 35% premium to the prior-day close and a level the shares haven’t seen in years."

CPI's management and board of directors support the deal as well.

Joe Caldarelli, chief executive of CPI, said, “Our board of directors and management believe this transaction will provide considerable benefits for CPI’s customers, and CPI’s stockholders will benefit from a significant premium over the current stock price.”

CPI closed Monday at $19.26, falling slightly to by $0.05, or 0.26 percent.

2. The Federal Deposit Insurance Corporation's insurance fund has a capital reserve of $53 billion. The IndyMac failure could use up 10% of those reserves.

3. The FDIC has a secret list of 90 other 'problem' banks. The FDIC chairman has assured the public that its reserves would be adequate to handle the additional bank failures that are expected to occur.

4. A few more well publicized bank failures could cause depositors to start pulling money out of even the strongest banks. A widespread panic could start a nation-wide bank run.

The Bailout of the GSEs

Last weekend, the Federal Reserve and the U.S. Treasury attempted to restore investor confidence in Freddie Mae and Freddie Mac by agreeing to open up their discount lending window (loan money) to the beleaguered GSEs. For the time being, it seems to have worked.

The Treasury is now lobbying Congress for a permission to invest (buy shares) in either company, if the need arises. And that is in addition to a desire to increase the companies' $2.25 billion dollar lines of credit.

What Could Happen

1. A government bailout of the GSEs would increase our national debt, increasing interest rates at a time when the economy can hardly afford it.

2. The Federal Reserve has repeatedly stated that the GSEs are in no danger of failing. But, what if they're wrong? Between the two of them, Fannie and Freddie guarantee almost half of all the $12 trillion U.S. mortgage debt.

3. Their ability to function is critical for mortgage prices.

4. However, if the GSE's collapse, the ability to obtain an affordable mortgage will be the least of anyone's concerns.
