Goldman Sachs (GS) Sees (OMX), (ANF), (AEO), (RSH), (ANN), (GPS), (SWY) in LBO Deals

The retail sector could be about to explode in LBO deals, according to Goldman Sachs (NYSE:GS), which sees the probability of LBO's for Safeway (NYSE:SWY), The Children's Place Retail Stores (NASDAQ:PLCE), OfficeMax (NYSE:OMX), Ross Stores (Nasdaq:ROST), Abercrombie & Fitch (NYSE:ANF), American Eagle Outfitters, (NYSE:AEO), Aeropostale (NYSE:ARO), RadioShack (NYSE:RSH), AnnTaylor Stores (NYSE), Dollar Tree (DLTR) and Gap (NYSE:GPS).

American Eagle Outfitters (NYSE:AEO) got a nice bump up on Wednesday on LBO rumors, so we'll probably start to see a lot of trading in the sector as rumors escalate, with a number of them probably being true, as pointed out by Goldman.

These are just some of the probabilities in the retail sector, which could consolidate even more.

Goldman determines that about $9 billion could be spent on U.S. retail LBOs. Of a universe of over 120 public companies, that equates to close to 8 percent of the overall aggregate enterprise value. That's how they came up with the 11 companies listed above, as far as the number of companies which are likely to be part of an LBO.

Goldman sees a 15 percent to 30 percent chance of a leveraged buy out for the companies listed above.

Big Lots (NYSE: BIG), 99 Cents Only Stores (NYSE:NDN) Most Likely LBO Candidates Says Barclays

With the attention of private equity seeming to be focused on the small retail sector lately, Barclays took a look at companies left that could fit the profile of a probable candidate, and feel Big Lots (NYSE:BIG) and 99 Cents Only Stores (NYSE:NDN) are among the few that warrant a real chance of being taken over and going private.

Barclays said, "Private equity interest in retail companies appears to have increased recently, with the just completed LBO of Gymboree (Nasdaq:GYMB) and pending LBOs of J. Crew (NYSE:JCG) and of Jo-Ann Stores (NYSE:JAS). These transactions have focused investors' attention on other retailers that could potentially be taken private. We, too, have reviewed our universe of retailers - specifically the small-box discounters - to determine whether any of them would be suitable LBO candidates. We believe some of the key criteria for a successful LBO include valuation, the outlook for free cash flow generation, ownership structure, and size. Based on our analysis, Big Lots (BIG) is the only one of the five small-box discounters we cover that fits these criteria. It has strong free cash flow, expansion potential, broad ownership, and a low valuation. Also, its enterprise value of $2.4 billion means the required debt and equity financing are likely to be readily available."

"All the stocks we reviewed have strong and growing free cash flow, but Dollar Tree (Nasdaq:DLTR) and Family Dollar (NYSE:FDO) both have valuations that are high enough to limit private equity returns. Dollar General (NYSE:DG) is not only valued at a similar level to DLTR and FDO, but its shares are still majority owned by private equity investors following its 2007 LBO. 99 Cents Only Stores (NDN) is more reasonably valued and an ideal size."

Big Lots closed Thursday at $32.09, gaining $0.41, or 1.29 percent. 99 Cents Only closed at $15.20, losing $0.26, or 1.68 percent.

Dollar Tree (NASDAQ:DLTR) Maintains Strong Defensive Profile

Even though the dollar store sector continues to outperform the rest of retail, Jefferies likes Dollar Tree (NASDAQ:DLTR) the best among the grouping, based on a strong defensive profile. They maintain their "Buy" rating on the company.

Jefferies said, "In an environment where the dollar store group has outperformed retail, we still favor Dollar Tree for its defensive profile, consistent performance and relatively strong unit growth story. Sales growth is strong and management continues to demonstrate that it can manage through challenging environments and still beat."

The improvement of merchandise in the store is also helping them appeal to a larger consumer base, added Jefferies.

Earnings per share estimates for full year 2011 were increased from $3.03 to $3.20 and from $3.53 to $3.75 for full year 2012.

Dollar Tree closed Friday at $53.41, dropping $0.40, or 0.74 percent. Jefferies has a price target on them of $62, raising it from $57.

Dollar Tree (NASDAQ:DLTR) May Slow Down in Third Quarter

Dollar Tree Inc. (NASDAQ:DLTR) closed Wednesday at $54.71, gaining $1.34, or 2.51 percent in anticipation of their third-quarter earnings report scheduled to be released Thursday before the opening of trading.

Analysts are looking for the retailer to report revenue of $1.38 billion and earnings of $0.62 a share.

As of the beginning of the third quarter, shares have exploded by over 31 percent, or $13.04, as consumers look for inexpensive items in light of the ongoing recession in the U.S. The stock has risen buy almost 68 percent in the year so far.

Goldman Sachs (NYSE:GS) said, "The difference in this quarter will be the lack of gross margin expansion, which is expected to be flattish due to higher yoy freight (both ocean and diesel) and a timing shift from 3Q to 4Q."
